<p>I began the company in late 2009 after realizing that I wouldn&#8217;t be using my Masters degree in my current FT job. This, unfortunately, is still the case. You see, my Masters is in Publishing, and I have always enjoyed looking at the future and technologies behind online publishing. It is also a great field to get into these days as the economy does not favor traditional publishing (how many young adults read books or magazines?).</p>

Unfortunately there are only so many hours in the day, and that sometimes means there isn&#8217;t enough time to do everything that I, as a business owner, would like to accomplish. 			<content:encoded><![CDATA[<p>Securing a website is no longer as simple as creating one creative password. The widespread use of content management systems has allowed nontechnical individuals to create and showcase websites. This is all fine and good, but the steps leading up to launching a site still remain complex. Poor forethought into the planning and execution (creation of code) of a website can lead to major vunerabilities.</p>
<p>Unlike HTML-driven sites, CMS-driven sites rely on object-oriented scripting languages to operate. In the cases of ModX, Joomla, Drupal, Xoops, Typo, Radiant, Textpattern, Movable Type, and Word Press, this language is PHP. If PHP is poorly written, outsiders make take advantage of your site and hack into the system. With pure HTML, on the other hand, hackers could break in only if they determined the host username and password.</p>
<p>So keeping a website secure now involves much more than one password. Take Joomla, for instance. This installation runs on the latest version of<br />
<a title="An open-source HTTP server for modern operating systems including UNIX and Windows NT" href="http://www.apache.org" target="_blank">Apache</a>, <a title="Hypertext Preprocessor is designed for web development to produce dynamic web pages" href="http://www.php.net" target="_blank">PHP</a>, and <a title="Open source database for developing sites and storing data" href="http://www.mysql.com" target="_blank">MySQL</a>, and requires an SQL database to run. The security of the database relies on the following:</p>
<ol>
<li> Security of the host (i.e. Convey Media)</li>
<li> Vulnerability of the software (i.e. Joomla 1.5.15) </li>
<li> Vulnerability of the extensions (e.g. Weather) </li>
<li> Password strength of the username to the host (i.e. when the client or I connect to Convey Media hosting server) </li>
<li> Password strength of the database username (i.e. when Joomla connects to the database) </li>
<li> Password strength of the administrator username (i.e. when the client or Convey Media logs into Joomla) </li>
</ol>
<p>
1) I recommend that you host with us. Our provider is an accredited member of the<br />
Better Business Bureau. Their servers are located in Chicago, and their customer support reps are located in the U.S. and Canada. Their servers have Intel Dual Quad Core Xeon processors, 8GB ram, Large Raid 10 storage arrays for maximum performance &amp; redundancy along with 100 Mbps<br />
connectivity to their switches. In addition, their servers are housed in a world class co-location data facility with raised floors, dual city power grid feeds with backup power generators. The facility boasts an FM 200 fire suppression system with early pre-fire detection mechanisms, and is staffed by administrators and security personnel 24x7x365,<br />
including biometric and key card security systems with a rack level<br />
locking mechanism.</p>
<p>2) Joomla 1.5.15 is the latest version available. It utilizes PHP scripts<br />
that execute on the server. What this means is that you, as an Internet<br />
surfer, cannot actually view any .php extension in its original form. The<br />
server converts the necessary data (for the end-user to read) to other<br />
formats such as HTML. The server removes the sensitive data that it itself<br />
needs to connect to the database. If you need an example of this, I can<br />
email you what a page looks like in PHP (for the server) versus what the<br />
code looks like in HTML after it has been processed (what the end-user<br />
sees). Joomla is Open-Source software, and developers worldwide contribute<br />
to its security. Convey Media follows Joomla&#8217;s <a href="http://docs.joomla.org/Category:Security_Checklist" target="_blank">Security guidelines</a>.</p>
<p>3) A calendar and weather button are two examples of Joomla extensions.<br />
These add on files are checked by the Joomla community for security<br />
breaches. All extensions are checked against the &#8220;<a href="http://docs.joomla.org/Vulnerable_Extensions_List" target="_blank">Vulnerable Extensions List</a>&#8220;. We will not install any<br />
extension that is on this list.</p>
<p>4) Password strength to a host connection is the first line of defense<br />
against an attack. A weak password can easily become breached. We<br />
require that hosting passwords (that connect you to the hosting<br />
server) be a min of eight (8) characters in length, using UPPERCASE<br />
letters, lowercase letters, alphanumeric characters and numbers. A typical<br />
password would be W3*GhX}4lHJ2.</p>
<p>5) Password strength of the MySQL database username is also critical.<br />
Again, Convey Media uses a password like that shown above. This password is separate<br />
from that of the host password.</p>
<p>6) Each user account within Joomla is prioritized. The &#8220;super<br />
administrator&#8221; accounts that the clent and Convey Media have unlimited access, while the<br />
&#8220;registered&#8221; users of the client&rsquo;s members will be able to only view (not<br />
alter or delete) registered content. All generated passwords will look like the examples listed above.</p>
<p>Joomla has seven (7) <a href="http://docs.joomla.org/User_Group_Access_levels_explained_in_simple_terms" target="_blank">user group access levels</a>: Registered, Author, Editor,<br />
Publisher, Manager, Administrator, and Super Administrator.</p>
<p>Webmasters of sites developed by Convey Media can maintain its security by updating Joomla when new versions become available, and by regularly changing all passwords and<br />
keeping passwords in a safe place.</p>

behalf through a variety of Domain Name Registration services (each a<br />

bound thereby. In particular, registration of Domain Names binds you to the<br />
terms of the Uniform Domain Name Dispute Resolution Policy (&#8220;UDRP&#8221;),<br />

incurred with respect to or arising out of claims of third parties concerning<br />
your use of any such Domain Name on the Internet.</p>

<p>2.05 You agree to inform Convey Media of any proceeding<br />
instituted by any party challenging your rights to use any Domain Name hosted<br />
on Convey Media servers, including but not limited to disputes under the Uniform<br />
Domain Name Dispute Resolution Policy (&#8220;UDRP&#8221;). Should you for any<br />
reason lose your right to use a Domain Name hosted on the Convey Media Servers,<br />
through expiration of the registration of the Domain Name, judicial decree, and<br />
or administrative decision under the UDRP or otherwise, you agree to<br />
immediately inform Convey Media of such loss of rights. To the extent your loss of<br />
rights to a Domain Name is accompanied by any judicial decree or administrative<br />
decision granting rights to the Domain Name to a third party, you agree to<br />
immediately inform Convey Media in writing of the identity of the party to whom<br />
such rights are to be transferred, as well as of any other information<br />
regarding the nature and scope of the decision of the judicial body or<br />
administrative panel that rendered the decision.</p>
<p>&nbsp;</p>
<p>2.06 You agree and understand that Convey Media may, should your<br />
rights to a Domain Name be challenged in any way, suspend the Convey Media services<br />
associated with such Domain Name and take any other steps required under any<br />
such proceeding, including but not limited to actions required under the UDRP.<br />
In any such case, Convey Media will take every reasonable step to assure that no<br />
loss of data occurs as a result of such actions and Convey Media may make such data<br />
available to you for storage elsewhere.</p>
<p>&nbsp;</p>
<p>3.00 Technical Support</p>
<p>&nbsp;</p>
<p>3.01 Support for hosting plans are offered via phone and<br />
e-mail. In the case of emergencies or natural disasters, Convey Media will provide support as soon<br />
as it is a reasonable time to do so.</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>4.00 Cancellations and Billing</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>4.01 Setup Fees are nonrefundable.</p>
<p>&nbsp;</p>
<p>4.02 The initial term shall be as set forth in the Order<br />
Form (the &#8220;Initial Term&#8221;). The Initial Term shall begin upon commencement<br />
of the services to Customer. After the Initial Term, this Agreement shall<br />
automatically renew. Additionally, after the initial term, customer<br />
acknowledges, agrees and authorizes Convey Media to automatically bill and/or<br />
charge their credit card for successive terms of equal length as the initial<br />
term, unless terminated or cancelled by either party as provided in this<br />
section. After the Initial Term, this Agreement shall automatically renew at<br />
the current listed fee. A list of current fees are available on the Convey Media<br />
website.</p>
<p>&nbsp;</p>
<p>4.03 Convey Media reserves the right to offer subsequent<br />
promotional rates which may or may not be more favorable than the terms under<br />
which you entered this agreement. Any such periodic special rates shall not<br />
affect the then existing right and responsibilities of each party. Promotional<br />
offers and rates may not be combined.</p>
<p>&nbsp;</p>
<p>4.04 To the extent that you qualify for any promotional<br />
rates or special offers from Convey Media, these terms and conditions may be<br />
modified by the terms and conditions of the promotion or special offer. In such<br />
a case, the terms and conditions of the promotion, to the extent they differ<br />
from the terms and conditions expressed herein, govern.</p>
<p>&nbsp;</p>
<p>4.05 Convey Media does not charge a nonrefundable set up fee. Convey Media does not charge a periodic service fee, however, Convey Media may charge you for Domain service fees<br />
and specifically reserves the right to institute additional charges upon notice<br />
to you. Convey Media reserves the right to alter, change, amend or delete charges<br />
at its sole discretion. Convey Media further reserves the right to institute new<br />
services and charge fees in association with the provision of such new services<br />
as it deems appropriate.</p>
<p>&nbsp;</p>
<p>4.06 Payment for all products and services is due in<br />
advance, unless specifically stated otherwise in the offer or promotion<br />
pursuant to which you have ordered or are ordering the Convey Media services. All<br />
payments shall be made in United States Dollars.</p>
<p>&nbsp;</p>
<p>4.07 Payment by Credit Card: prior to activation of your<br />
user account, and at any applicable time thereafter, you authorize Convey Media to<br />
charge the credit card provided by you for the amount of the fees due for the<br />
agreed upon services together with any applicable set-up charges, registration<br />
fees, or any other charges outlined herein as may be applicable. You further<br />
authorize Convey Media to charge your credit card for all subsequent period fees<br />
at, or a reasonable period in advance of, the commencement of any such<br />
subsequent period. Should you fail to provide credit card authorization to pay<br />
for the coverage, Convey Media, at its sole discretion will have the right to<br />
suspend your account and/or terminate it under section 4.08 hereof. Refusal or<br />
rejection of any charge or any portion thereof is grounds for account<br />
suspension and/or termination at the sole option of Convey Media under Article 16<br />
herein.</p>
<p>&nbsp;</p>
<p>4.08 The hosting services may be terminated by the following<br />
methods:</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>(a) by either party by giving the other party thirty (30)<br />
days prior written notice,</p>
<p>&nbsp;</p>
<p>(b) by Convey Media in the event of non-payment by Customer,</p>
<p>&nbsp;</p>
<p>(c) by Convey Media, at any time, without notice, if, in Convey Media&#8217;s sole and absolute discretion and/or judgment, Customer is in violation of<br />
any term or condition of the this Agreement and related agreements, or<br />
Customer&#8217;s use of the services disrupts or, in Convey Media&#8217;s sole and absolute<br />
discretion and/or judgment, could disrupt, Convey Media&#8217;s business operations<br />
and/or</p>
<p>&nbsp;</p>
<p>(d) by Convey Media upon verbal request by Customer if Customer<br />
provides satisfactory authorization and account verification.</p>
<p>&nbsp;</p>
<p>(e) by Convey Media in accordance with other cancellation terms<br />
listed herein.</p>
<p>&nbsp;</p>
<p>4.09 If a customer cancels their hosting service prior to<br />
the end of the Initial Term or any Renewal Term thereafter:</p>
<p>&nbsp;</p>
<p>(a) customer shall be obligated to pay all fees and charges<br />
accrued prior to the effectiveness of such cancellation,</p>
<p>&nbsp;</p>
<p>(b) Refunds of service fees will be made only for<br />
pre-payment of service fees beyond the next renewal period following the<br />
effective notice and termination of this agreement. All refunds shall be<br />
pro-rated based upon the number of days for which service remains unused as of<br />
that next renewal date. Convey Media may grant refunds under any other circumstance<br />
it deems appropriate without waiving any other rights hereunder. There will be<br />
no refunds of Domain service Fees. Fees paid for certain additional services,<br />
including but not limited to services for extra storage space, web mail tools<br />
or special groupware, are also not refundable.</p>
<p>&nbsp;</p>
<p>4.10 If Convey Media cancels a customer’s account prior to the<br />
end of the Term for the customer’s breach of the Terms of Service and related<br />
agreements, the Customer&#8217;s use of the services will disrupt and Convey Media shall<br />
not refund to customer any fees paid in advance of such cancellation with<br />
customer being obligated to pay all fees and charges accrued prior to the<br />
effectiveness of such cancellation; further, customer shall be obligated to pay<br />
100% of all charges for all services for each month remaining in the Term.</p>
<p>&nbsp;</p>
<p>4.11 Upon termination of a customer’s account for any cause<br />
or reason whatsoever, neither party shall have any further rights or<br />
obligations under these terms of service, except as expressly set forth herein.<br />
Termination of a hosting Agreement and retention of pre-paid fees and charges<br />
shall be in addition to, and not be in lieu of, any other legal or equitable<br />
rights or remedies to which Convey Media may be entitled.</p>
<p>&nbsp;</p>
<p>4.12 Should a customer decide to cancel an account within<br />
the initial 30 day period, the customer will receive a full refund of prepaid<br />
hosting fees, less any Domain registration fees that Convey Media has occurred to<br />
date as part of a promotion or separate charges. Any upgrade of the initial<br />
account by customer within the initial 30 day period will be considered a<br />
waiver of the money back guarantee and an acceptance of the then current rates<br />
and fees. Convey Media also considers that customers switching from any existing Convey Media package have already experienced the 30-day Money Back Guarantee. The<br />
renewal of the initial period is considered a waiver of the money back<br />
guarantee with each customer only being allowed to use the Money Back Guarantee<br />
once, and for only one account. Any customer whose account has been suspended<br />
or terminated due to the breach of any part of the Convey Media Terms of Services<br />
including but not limited to Section 4.07 and Section 6 has automatically<br />
forfeited the right to use the Convey Media Money Back Guarantee. To be considered<br />
valid, all money back guarantee requests must be e-mailed to contact@conveymedia.com<br />
within 30 days of the customer’s account being signed up.</p>
<p>&nbsp;</p>
<p>5.00 Content</p>
<p>&nbsp;</p>
<p>5.01 Convey Media reserves the right to access and review its<br />
user’s content, files, or web pages for any reason at its sole discretion.</p>
<p>&nbsp;</p>
<p>5.02 Convey Media does not preview the content of its users and<br />
therefore all user content is provided &#8220;AS IS&#8221; and without warranty<br />
of any kind by Convey Media.</p>
<p>&nbsp;</p>
<p>5.03 Convey Media does not endorse any content contained within<br />
it&#8217;s user&#8217;s pages.</p>
<p>&nbsp;</p>
<p>5.04 Convey Media will cooperate with all law enforcement<br />
efforts pertaining or involving the use of Convey Media’s user&#8217;s web space, e-mail,<br />
and content. This may result in Convey Media disclosing all information given to Convey Media including but not limited to information contained in Convey Media ’s customer<br />
database records and servers.</p>
<p>&nbsp;</p>
<p>6.00 Inappropriate Content</p>
<p>&nbsp;</p>
<p>6.01 Transmission, distribution, sale or storage of any<br />
material in violation of any applicable law, regulation, ordinances, or these<br />
guidelines is prohibited. Convey Media b reserves the rights to restrict or prohibit<br />
any and all uses of the services or content on your web site(s) and to remove<br />
such material from its servers that Convey Media determines in its sole discretion<br />
is harmful to its servers, systems, network, reputations, good will, other Convey Media Customers, or any third party.</p>
<p>&nbsp;</p>
<p>6.02 The following non-exhaustive list details the kinds of<br />
illegal or harmful or misappropriate conduct that is prohibited under this<br />
agreement:</p>
<p>&nbsp;</p>
<p>(a) nudity, pornography, anything of a sexual, lewd,<br />
indecent or of obscene nature.</p>
<p>&nbsp;</p>
<p>(b) violations of any copyright or any other right of any<br />
third party, including, without limitation, material protected copyright,<br />
trademark, patent, trade secret, or other intellectual property right used<br />
without proper authorization.</p>
<p>&nbsp;</p>
<p>(c) threatening, abusive, harassing, harmful, defamatory,<br />
invasive of privacy or publicity rights, abusive, inflammatory or otherwise<br />
objectionable.</p>
<p>&nbsp;</p>
<p>(d) promotion of illegal activities (info on hacking,<br />
cracking, making illegal devices, etc).</p>
<p>&nbsp;</p>
<p>(e) information, instructions, or software containing or<br />
about any kind of virus.</p>
<p>&nbsp;</p>
<p>(f) hate speech or hate propaganda.</p>
<p>&nbsp;</p>
<p>(g) content that links to content that violates Convey Media’s<br />
Terms of Service in any way.</p>
<p>&nbsp;</p>
<p>(h) misrepresentation of user&#8217;s identity, or the<br />
impersonation of anyone, including Convey Media personnel.</p>
<p>&nbsp;</p>
<p>(i) collection of personal information for illegal purposes.</p>
<p>&nbsp;</p>
<p>(j) content that is deemed by Convey Media, in its sole<br />
discretion, to be harmful to Convey Media, another company or organization, or<br />
individual.</p>
<p>&nbsp;</p>
<p>(k) solicitation or sale of any products or services that<br />
are harmful, illegal, dangerous, pornographic, or indecent.</p>
<p>&nbsp;</p>
<p>(l) use of Convey Media servers or a link to Convey Media servers<br />
for spamming, bulk mail, web bombing, etc.</p>
<p>&nbsp;</p>
<p>7.00 Export Violations and CISG</p>
<p>&nbsp;</p>
<p>7.01 Convey Media does not permit the posting or sending of<br />
software or technical information in violation of U.S. export laws, including,<br />
without limitation, the Export Administration Act and the Export Administration<br />
Regulations maintained by the Department of Commerce.</p>
<p>&nbsp;</p>
<p>7.02 The United Nations Convention on Contracts for the<br />
International Sale of Goods (CISG) does not apply to this agreement.</p>
<p>&nbsp;</p>
<p>8.00 Harmful Content</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>8.01 Disseminating or hosting harmful content including,<br />
without limitation, viruses, trojan horses, worms, time bombs, cancelbots or<br />
any other computer programming routines that may damage, interfere with,<br />
surreptitiously intercept or expropriate any system, program, data or personal<br />
information.</p>
<p>&nbsp;</p>
<p>9.00 Fraudulent Conduct</p>
<p>&nbsp;</p>
<p>9.01 Offering or disseminating fraudulent goods, services,<br />
schemes, or promotions (i.e., make money fast schemes, chain letters, pyramid<br />
schemes), or furnishing false data on any signup form, contract or online<br />
application or registration, or the fraudulent use of any information obtained through<br />
the use of the services, including without limitation use of credit card<br />
numbers.</p>
<p>&nbsp;</p>
<p>9.02 You agree not to make or attempt any unauthorized<br />
access to any Convey Media website or the website of any Convey Media customer.</p>
<p>&nbsp;</p>
<p>10.00 Security Violations</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>10.01 Violations of Convey Media’s or any third party&#8217;s server,<br />
system or network security through the use of the services are prohibited, and<br />
may result in criminal and civil liability. Convey Media may investigate incidents<br />
involving such violations. Convey Media may involve and cooperate with law<br />
enforcement if a criminal violation is suspected. Any violation by Customer of Convey Media security will be considered grounds for cancellation under section 4.00.</p>
<p>&nbsp;</p>
<p>Examples of server, system or network security violations<br />
include, without limitation, the following:</p>
<p>&nbsp;</p>
<p>10.02 Example 1: Hacking. Unauthorized access to or use of<br />
data, systems, server or networks, including any attempt to probe, scan or test<br />
the vulnerability of a system, server or network or to breach security or<br />
authentication measures without express authorization of the owner of the<br />
system, server or network.</p>
<p>&nbsp;</p>
<p>10.03 Example 2: Interception. Unauthorized monitoring of<br />
data or traffic on any network, server, or system without express authorization<br />
of the owner of the system, server, or network.</p>
<p>&nbsp;</p>
<p>10.04 Example 3: Intentional Interference. Interference with<br />
service to any user, host or network including, without limitation, mail<br />
bombing, news bombing, other flooding techniques, deliberate attempts to<br />
overload a system, broadcast attacks and any activity resulting in the crash of<br />
a host. Intentional interference also means the use of any kind of<br />
program/script/command, or send messages of any kind, designed to interfere<br />
with a user&#8217;s terminal session, via any means, locally or by the Internet.</p>
<p>&nbsp;</p>
<p>10.05 Example 4: Falsification of Origin. Forging of any<br />
TCP-IP packet header, e-mail header or any part of a message header.</p>
<p>&nbsp;</p>
<p>10.06 Example 5: Avoiding System Restrictions. Using manual<br />
or electronic means to avoid any use limitations placed on the services such as<br />
timing out.</p>
<p>&nbsp;</p>
<p>10.07 Example 6: Failure to Safeguard Accounts. Customer<br />
fails to prevent access to the accounts, including any account passwords.</p>
<p>&nbsp;</p>
<p>11.00 Disallowed File Types</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>11.01 Convey Media does not permit the following file types:<br />
.cmd, exe, .com, and .bat.</p>
<p>&nbsp;</p>
<p>12.00 User Name Restrictions</p>
<p>&nbsp;</p>
<p>12.01 Convey Media user name restrictions are as follows:</p>
<p>&nbsp;</p>
<p>(a) No vulgar or offensive language.</p>
<p>&nbsp;</p>
<p>(b) No assumption of another person’s identity.</p>
<p>&nbsp;</p>
<p>(c) No use of a name that is an organization or entity other<br />
than your own.</p>
<p>&nbsp;</p>
<p>(d) No use of a name that is trademarked, copyrighted,<br />
service marked, or violates the rights of another individual or organization.</p>
<p>&nbsp;</p>
<p>13.00 Account Usage</p>
<p>&nbsp;</p>
<p>13.01 Customer’s selection of unlimited data transfer from their<br />
web Site, excludes transfer from any database server, RealMedia server, or<br />
other audio/video streaming servers. Customers may pay additional bandwidth<br />
fees for database server or RealMedia, or other audio/video streaming server<br />
transfers that exceed 10 GB, in the aggregate, during any calendar month.<br />
Customer agrees to design their websites in such a manner as to avoid<br />
overloading of Convey Media Servers, by limiting the use of code/applications that<br />
require overly high processor capacity, and to use good judgment to provide a<br />
website that is designed in a technically competent manner. Convey Media has the<br />
right, should the customer’s website be the cause of interruptions in Convey Media’s<br />
ability to provide its services to other customers, to temporarily disable access<br />
to the customer’s website. In case Convey Media takes such a step, the customer<br />
will be informed thereof as soon as is practicable and Convey Media may work with<br />
customer to remove the condition that led to the suspension.</p>
<p>&nbsp;</p>
<p>13.02 To protect the legitimate Internet use of our<br />
Customers across our system, Convey Media may immediately suspend service, without<br />
notice to any web site or Customer, for the following uses:</p>
<p>&nbsp;</p>
<p>Customers may not,</p>
<p>&nbsp;</p>
<p>(a) Use the web site to store web pages, files or data for<br />
other IP addresses or Domain Names, or as a repository for files, data or<br />
“warez group” download transfer, or</p>
<p>&nbsp;</p>
<p>(b) Offer adult content.</p>
<p>&nbsp;</p>
<p>13.03 Convey Media may immediately suspend service, without<br />
notice to any web site or Customer, any web site that in any manner adversely<br />
affects the operations or performance of other Convey Media customers. In the event<br />
of any dispute regarding the aforementioned rules, Convey Media may determine<br />
violations of these rules in its sole discretion.</p>
<p>&nbsp;</p>
<p>13.04 Customers utilizing bandwidth, disk space or SQL usage<br />
in excess of current plan limitations, or in violation of these rules, will be<br />
subject to additional fees for the applicable rate for the excess bandwidth, disk space or Database space.</p>
<p>&nbsp;</p>
<p>13.05 Customer agrees to not collect or attempt to collect<br />
personally identifiable information of any person or entity without their<br />
express written consent and you shall maintain records of any such written<br />
consent throughout the terms of this agreement and for three years thereafter.</p>
<p>&nbsp;</p>
<p>14.00 E-mail Communication</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>14.01 Convey Media users agree to:</p>
<p>&nbsp;</p>
<p>(a) Maintain a current email address in the Convey Media<br />
database. Failure to notify Convey Media of an e-mail change could result in the<br />
termination of your Convey Media account.</p>
<p>&nbsp;</p>
<p>(b) Receive emails about a product or service that might be<br />
of interest from an advertiser.</p>
<p>&nbsp;</p>
<p>(c) Receive updates, offers, notifications and newsletters<br />
in email from Convey Media.</p>
<p>&nbsp;</p>
<p>(d) Check all of their email accounts in regular intervals<br />
and to download the email stored therein in order to maintain an acceptable<br />
data-transfer volume. Convey Media may, should the capacity of your email boxes be<br />
exceeded at any time, return all subsequently received emails to the senders<br />
without notice to the customer. All items left in the &#8220;Deleted&#8221; or<br />
&#8220;Trash&#8221; folder on the mail server will be automatically deleted after<br />
30 days.</p>
<p>&nbsp;</p>
<p>14.02 Customer may not use Convey Media&#8217;s mail server or another<br />
web site&#8217;s mail server to relay mail without the express permission of the<br />
account holder or the web site. Posting the same or similar message to one or<br />
more newsgroups (excessive cross-posting or multiple-posting) also is<br />
explicitly prohibited.</p>
<p>&nbsp;</p>
<p>15.00 SPAM/Bulk Mail Policy</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>15.01 Convey Media users agree not to distribute, publish, or<br />
send any of the following types of e-mail:</p>
<p>&nbsp;</p>
<p>(a) Unsolicited promotions, advertising or solicitations<br />
(commonly referred to as &#8220;spam&#8221;), including, without limitation,<br />
commercial advertising and informational announcements, except to those who<br />
have explicitly requested such e-mails.</p>
<p>&nbsp;</p>
<p>(b) Harassing e-mail, whether through language, frequency,<br />
or size of messages.</p>
<p>&nbsp;</p>
<p>(c) Chain letters.</p>
<p>&nbsp;</p>
<p>(d) UCE (Unsolicited Commercial E-mail), Bulk E-mail,<br />
advertising or solicitations (commonly referred to as &#8220;spam&#8221;). Daly<br />
Web reserves the right to decide what it considers &#8220;spam&#8221;,<br />
&#8220;UCE&#8221;, &#8220;mail bombing&#8221;, or &#8220;bulk e-mail&#8221;, and to<br />
determine from all of the evidence whether or not the e-mail recipients were<br />
from an &#8220;opt-in&#8221; e-mail list. Further, you agree to indemnify and<br />
hold us harmless from any claim resulting from your use or distribution of<br />
electronic mail services through the service provided through this Agreement.<br />
Anyone using our services for spamming will be immediately subject to a $250<br />
cleanup/network abuse fee.</p>
<p>&nbsp;</p>
<p>(e) Unsolicited postings to newsgroups advertising any URL<br />
(Domain) hosted by Convey Media.</p>
<p>&nbsp;</p>
<p>(f) Promoting any software program, product, or service that<br />
facilitates the use of spam/bulk mail.</p>
<p>&nbsp;</p>
<p>(g) E-mails containing forged or falsified information in<br />
the header (including sender name and routing information), or any other forged<br />
or falsified information.</p>
<p>&nbsp;</p>
<p>15.02 Malicious e-mail, including without limitation<br />
&#8220;mail-bombing&#8221; (flooding a user or web site with very large or<br />
numerous pieces of mail) or &#8220;trolling&#8221; (posting outrageous messages<br />
to generate numerous responses).</p>
<p>&nbsp;</p>
<p>15.03 In addition, you may not use Convey Media&#8217;s mail server or<br />
another Web site&#8217;s mail server to relay mail without the express permission of<br />
the account holder or the Web site. Posting the same or similar message to one<br />
or more newsgroups (excessive cross-posting or multiple-posting) also is<br />
explicitly prohibited.</p>
<p>&nbsp;</p>
<p>16.00 Termination of Service</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>16.01 A partial list of the actions that may cause<br />
termination of account:</p>
<p>&nbsp;</p>
<p>(a) Purposely circumventing the receiving of emails.</p>
<p>&nbsp;</p>
<p>(b) Posting or providing links to content that violates<br />
these Terms of Service.</p>
<p>&nbsp;</p>
<p>(c) Using an account that is not yours or is inactive.</p>
<p>&nbsp;</p>
<p>(d) Sending unsolicited (bulk, spam) email from or<br />
referencing your space.</p>
<p>&nbsp;</p>
<p>(e) Reproduction or use of another user&#8217;s content without<br />
permission.</p>
<p>&nbsp;</p>
<p>(f) Reproduction of any Convey Media.com content (CodeBank,<br />
Forum Messages, Articles).</p>
<p>&nbsp;</p>
<p>(g) Invalid e-mail address for correspondence with Convey Media.</p>
<p>&nbsp;</p>
<p>16.02 INDIRECT OR ATTEMPTED VIOLATIONS OF THESE TERMS, AND<br />
ACTUAL OR ATTEMPTED VIOLATIONS BY A THIRD PARTY ON YOUR BEHALF, WILL BE<br />
CONSIDERED VIOLATIONS OF THE TERMS OF SERVICE BY YOU.</p>
<p>&nbsp;</p>
<p>17.00 Ownership of Intellectual Property and Confidentiality</p>
<p>&nbsp;</p>
<p>&nbsp;</p>
<p>17.01 It is understood and agreed that during the term of<br />
this agreement and thereafter you may come into possession of information which<br />
is the confidential and proprietary information of Convey Media including but not<br />
limited to the Convey Media customer service tools. You acknowledge that all right<br />
and title to any such Convey Media intellectual property shall remain the sole property<br />
of Convey Media and that you have no right, title or interest therein. You further<br />
agree not to provide access to the Convey Media services to any third party. Any<br />
and all right or title to any engineering, coding, programming or customer<br />
service work around or other modification of the Convey Media services shall also<br />
remain the sole property of Convey Media.</p>
<p>&nbsp;</p>
<p>17.02 During the term of this agreement you may have access<br />
to certain information and materials relating to the Convey Media business,<br />
customers, software technology and marketing which Convey Media treats as<br />
confidential (hereinafter &#8220;Confidential Information&#8221;). You agree to<br />
at all times during the term of this agreement and otherwise as set forth<br />
herein: (i) hold in confidence, and not disclose or reveal to any person or<br />
entity, any &#8220;Confidential Information&#8221; without the express prior<br />
written consent of Convey Media; and (ii) not use or disclose any of the<br />
&#8220;Confidential Information&#8221; for any purpose at any time, other than<br />
pursuant to your rights under this agreement for the purpose intended. These<br />
obligations shall continue indefinitely for so long as the Confidential<br />
Information is a trade secret under applicable law and shall continue for three<br />
(3) years following termination of this Agreement with respect to Confidential<br />
Information, which does not rise to the level of a trade secret.</p>
<p>&nbsp;</p>
<p>17.03 For purposes of this Article 17, Confidential<br />
Information also includes passwords and access codes.</p>

<p>18.00 Limitations of Liability</p>

<p>18.01 CONVEY MEDIA IS PROVIDED ON AN &#8220;AS IS&#8221; AND<br />
&#8220;AS AVAILABLE&#8221; BASIS. CONVEY MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES OF<br />
ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED<br />
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND<br />
NON-INFRINGEMENT.</p>

<p>18.02 CONVEY MEDIA MAKES NO WARRANTY THAT (i) CONVEY MEDIA WILL MEET<br />

OR ERROR-FREE.</p>

SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT<br />
RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.</p>

EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS,<br />
GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF CONVEY MEDIA HAS BEEN<br />
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE<br />

MATTER RELATING TO THE SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION<br />
OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR<br />
INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS<br />

<p>18.03 You agree to indemnify and hold Convey Media, and its<br />

you post on Convey Media your use of Convey Media, your violation of these Terms of<br />
Service, or your violation of any rights of another.</p>

<p>18.04 These Terms of Service constitute the entire<br />

<h2>1. Authorization.</h2>
<p><strong><em>Client</em></strong>, hereafter known as the <strong>&#8220;Web User,&#8221;</strong> is engaging <strong>Convey Media, Inc., </strong>hereafter known as <strong>“Developer,”</strong> located at PO Box 1450, New Rochelle, NY, 10802, as an independent contractor for the specific purpose of developing and/or improving a World Wide Web site to be installed on the Web User&#8217;s web space located on an Internet Service Provider&#8217;s (ISP) server.</p>
<h2>2. Base Package / Content Management / Email.</h2>
<h2>2.1 Hosting Service.</h2>
<p>The Developer will secure and maintain a separate contract with their current Internet Service Provider (ISP) for hosting.</p>
<p>The Web User hereby authorizes the Developer to access Internet Service Provider (ISP), and authorizes the Host Provider to provide the Developer with &#8220;write permission&#8221; for the Web User&#8217;s web page directory, cgi-bin directory, and any other directories or programs that need to be accessed for this project.</p>
<h2>2.2 Domain Registration.</h2>
<p>The Web User will be responsible for and maintain domain name. The Developer will provide DNS pointing to name servers if needed.</p>
<h2>2.3 Base Package / Graphic Creation / Content Management / E-mail.</h2>
<p>This agreement contemplates installments of the content management system (&#8220;CMS&#8221;), licensed under the GPL. This agreement contemplates branding of web pages, hereafter designated as “templates,” with layout, custom graphics and image modifications, logo modification, photo editing, and photo integration.</p>
<h2>2.4 Databases.</h2>
<p>This agreement includes a provision for the creation of one database for the expressed purpose of running the CMS.</p>
<h2>2.5 Templates.</h2>
<p>A template for the CMS will be created or modified to reflect the Web User’s wants. Coding will be created. Templates use XHTML and PHP coding. The Developer will modify CSS coding of font, image and table elements. The Developer will provide proofs and major revisions as needed before coding, and will complete any minor revisions after coding.</p>
<h2>2.6 Text.</h2>
<p>Text on current website will be transferred to management system. Final text will be supplied by the Web User. All content text shall be provided by the Web User point of contact in Microsoft Word.doc, .txt, .htm, or .RTF format. Submission can be made as: an email attachment; USB flash drive; or DVD/CD. Web User must supply Developer complete text and graphics content for all web pages.</p>
<h2>2.7 Content.</h2>
<p>The creation of sections and categories in the Article Manager menu bars, and standard contact page will be completed by the Developer. The Web User will provide the Developer with a list of names and email addresses to be assigned user access. The Developer will then create user accounts in CMS with predetermined access privileges.</p>
<h2>2.8 Graphic Creation / Banner Advertisements.</h2>
<p>It is anticipated that the Developer will create, capture or receive from the Web User all the graphic elements necessary to complete the Web User&#8217;s web site. This includes videos, photography or small illustrations. This contract does not contemplate, however, the creation of banner advertisements, company logo, animated graphics and banner advertisements. Stock images requested by Web User will be separately negotiated.</p>
<h2>2.9 Interactive.</h2>
<p>The Developer will develop a contact form if the Web User wants.</p>
<h2>2.10 Links.</h2>
<p>This agreement contemplates up to an average of 5 external or relative links per page and an e-mail response link on each web page to any e-mail address the Web User designates. This agreement also contemplates making any link the Web User desires &#8220;pop up&#8221; in a new window if requested at the specific dimensions and configuration specified by the Web User.</p>
<h2>2.11 E-commerce.</h2>
<p>This contract does not contemplate the installation of an ecommerce package.</p>
<h2>2.12 Marketing.</h2>
<p>Developer will insert default metadata values (including title, description, keywords, copyright, and author) that will be present on every page of the site. The Web User can also provide Developer with metadata specific to each page. Developer will also list Web User’s hyperlinked logo in the footer and contact information on the code side.</p>
<h2>3. Cross Browser Compatibility.</h2>
<p>Our agreement contemplates the creation of a web site viewable by Mozilla Firefox 3.5.x and Microsoft Internet Explorer 7.xx and Explorer 8.xx. Compatibility is defined herein as all critical elements of each page being viewable in both browsers. Web User is aware that some advanced techniques on the Internet, however, may require a more recent browser version and brand or plug-in. Web User is also aware that as new browser versions of Internet Explorer and Firefox are developed, the new browser versions may not be backward compatible. In the absence of a Maintenance Agreement time spent to redesign a site for compatibility due to the introduction of a new browser version will be separately negotiated and in addition to the base price of our agreement.</p>
<h2>4. Exclusions.</h2>
<p>The following services are specifically excluded services as part of the flat fee: Creating, writing or editing content copy on the site articles such as About Us or Bio, additional ads, creating audio/video files, images on specific pages, site updates, setup of social media sister sites such as Twitter, Facebook, etc; additional site traffic information, email newsletter list, Page Redirection and Plug-in Technology; Java applets; CGI / Perl; Cold Fusion; ASP; Ruby on Rails; link building or submission of website to business listings, audio, video or Adobe Flash (animation) production; QuickTime; scanning; additional photography; PHP/Javascript forms; Secure Certificate; Stock Images.</p>
<h2>5. Updates.</h2>
<p>Upon completion of this contract, Developer can provide updates additions or changes to the content of the material on said web site for the sum of $40.00 per hour billed in increments of fifteen minutes to make minor site changes. If any major site changes are required by Web User, the parties agree to negotiate a flat or hourly fee charge for such service and enter into a &#8220;Change Order&#8221; memorandum for such service which is executed by both parties before the service is provided by Developer.</p>
<h2>6. Service Charges.</h2>
<p>The Web User may hire the hosting and e-mail service of Developer on Developer&#8217;s server for a monthly fee of Four ($4.00) Dollars per month, payable annually and to be billed by Developer. There will be no other service charges imposed by Developer for the use of the licenses of third party software providers unless expressly agreed to by Web User. The parties acknowledge that Developer may have to use software which is licensed by third party software providers in order to develop Web User&#8217;s web site which will not result in special charges which will be passed through without the addition on the part of Developer of any markup on behalf of Developer.</p>
<h2>7. Copyrights and Trademarks.</h2>
<p>The Web User represents to the Developer and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to the Developer for inclusion in the Web User&#8217;s web site are owned by the Web User, or that the Web User has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend the Developer and its subcontractors from any claim or suit arising from the use of such elements furnished by the Web User.</p>
<h2>8. Training.</h2>
<p>The Developer will provide e-mail and telephone assistance to the Web User&#8217;s designated representatives regarding management of the Web User&#8217;s web site for a period of two months after the completion of the contract. Additionally, Developer will provide a “How To” session for the CMS, not to exceed two hours.</p>
<h2>9. Payment Terms / Work Flow.</h2>
<p>An initial deposit is required by Web User to commence work, as per the acceptance and signature of the quote. The remaining fee will be due to Developer upon completion of site design, approval, and upload of content (a final bill will be provided). Both parties agree that all billing practices under this Agreement shall be in proportion to the service actually provided and payment for prospective future services, except for the annual site charges and initial deposit, shall not be pre-charged but billed upon the service having been provided.</p>
<p>Communication between the Developer and the Web User is crucial during the beginning phase to ensure that the ultimate publication will match the Web User&#8217;s taste and needs. Upon completion of this stage, the Web User will be asked to confirm acceptance for the basic site design via e-mail or by signing a printed copy of the design. Once this acceptance is received from the Web User, the work necessary to complete the project will begin.</p>
<p>Web Users should continue, however, to continually view updates to the site and express their preferences or dislikes to the Developer. Upon completion of the web site, an e-mail or letter and invoice will be sent to the Web User advising the Web User that the work has been completed.</p>
<p>Payment of the fee plus any agreed-to additional charges incurred will be due within thirty (30) business days after delivery of invoice. Developer reserves the right to remove all web content from the Internet if payment is not made within thirty (30) days after delivery of our completion notification. If a payment delay is anticipated, please contact the Developer to discuss potential problems in advance and to accommodate an alternate arrangement.</p>
<h2>10. Web User Amends.</h2>
<p>Developer encourages input from the Web User during the design process. The Web User agrees to a maximum or three major revisions of the template before coding and content integration begins. The Developer understands, however, that Web Users may request significant design changes to pages that have already built to the Web User&#8217;s specification. To that end, please note that our agreement does not include a provision for “post-production significant template/page modification.&#8221;</p>
<p>Some examples of significant page modification at the request of the Web User include:</p>
<ul>
<li>Requesting a new template to modify at the Web User’s request.</li>
<li>Developing a new structure to accommodate a substantial redesign at the Web User&#8217;s request.</li>
<li>Recreating or significantly modifying the company logo graphic at the Web User&#8217;s request.</li>
<li>Replacing more than 75% of the text to any given page at the Web User&#8217;s request.</li>
<li>Creating a new navigation structure or changing the link graphics at the Web User&#8217;s request.</li>
<li>Significantly reconfiguring the Web User&#8217;s shopping cart with new product, shipping or discount calculation if an e-commerce enabled site has been selected by the Web User.</li>
</ul>
<p>If significant page modification is requested by the Web User after the site has been completed and payment received, page modifications will be considered an “update” and billed accordingly. Moderate changes, however, will always be covered during our development of the site and also covered by our one month of free maintenance.</p>
<p>The Developer strives to accommodate the needs of each Web User and we maintain a liberal redesign policy. Developer cannot, however, provide major redevelopment services after the template has been agreed upon, design is integrated, and content is uploaded and formatted.</p>
<h2>11. Third Party or Web User Page Modification.</h2>
<p>Some Web Users will desire to independently edit or update their web pages after completion of the site as a way to control costs and avoid the expense of a Maintenance Agreement. This is always an option for Web Users of the Developer.</p>
<p>Note however, that if this option is selected and the Web User or an agent of the Web User other than the Developer attempts to update the web site and damages the design or impairs the ability for the web pages to display or function properly, time to repair the web pages will be assessed at the hourly rate.</p>
<h2>12. DVD Burning.</h2>
<p>The Developer will burn one copy of the Web User&#8217;s web site into a DVD at the Web User&#8217;s request upon completion of the site. Additional copies of the DVD are available for $25.00 each.</p>
<h2>13. Assignment of Project.</h2>
<p>The Developer reserves the right to assign certain subcontractors to this project to insure the right fit for the job as well as on-time completion. The Developer warrants all work completed by subcontractors for this project.</p>
<h2>14. Additional Expenses.</h2>
<p>Web User agrees to reimburse the Developer for any critical Web User-requested expenses necessary for the completion of the project. Examples would be:</p>
<ul>
<li>Purchase of specific fonts at the Web User&#8217;s request,</li>
<li>Purchase of specific photography at the Web User&#8217;s request.</li>
<li>Purchase of specific software at the Web User&#8217;s request.</li>
<li>Submission of site to specific search engines at the Web User’s request.</li>
</ul>
<h2>15. Limited Liability.</h2>
<p>Web User agrees that any material submitted for publication will not contain anything leading to an abusive or unethical use of the Web Hosting Service, the Host Server or the Developer. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming , advocacy of an illegal activity, and any infringement of privacy.</p>
<p>Web User hereby agrees to indemnify and hold harmless the Developer from any claim resulting from the Web User&#8217;s publication of material or use of those materials.</p>
<p>is also understood that the Developer will not publish information over the Internet which may be used by another party to harm another. The Developer will also not develop a pornography or warez web site for the Web User. The Developer reserves the right to determine what is and is not pornography.</p>
<h2>16. Indemnification.</h2>
<p>Web User agrees that it shall defend, indemnify, save and hold the Developer harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney&#8217;s fees associated with the Developer&#8217;s development of the Web User&#8217;s web site. This includes Liabilities asserted against the Developer, its subcontractors, its agents, its Web Users, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by the Web User, its agents, employee or assigns.</p>
<p>Web User also agrees to defend, indemnify and hold harmless the Developer against Liabilities arising out of any injury to person or property caused by any products or services sold or otherwise distributed over the Web User&#8217;s web site. This includes infringing on the proprietary rights of a third party, copyright infringement, and delivering any defective product or misinformation which is detrimental to another person, organization, or business.</p>
<h2>17. Laws Affecting Electronic Commerce.</h2>
<p>The Web User agrees that it is responsible for complying with the laws, taxes, and tariffs related to e-commerce, and will hold harmless, protect, and defend the Developer and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the Web User&#8217;s use of Internet electronic commerce. Web User also understands that the Developer cannot provide legal advice.</p>
<h2>18. Ownership to Web Pages and Graphics.</h2>
<p>All content provided to Developer by Web User, with the exception to the Convey Media logo, shall remain the sole and exclusive property of Web User. Copyright to the finished assembled work of web pages produced by the Developer and graphics shall be vested with the Web User upon final payment for the project. This ownership is to include templates, design, photos, graphics and text. Work-up files remain with the Developer.</p>
<p>All materials developed under this contract and intended for publication to the web remain the property of Developer until such time as final payment for the work described herein has been tendered by Web User. At this time, all materials become the property of Web User and may be used by them, as desired.</p>
<p>Should materials described in this contract be used on the web by Web User before the tender of final payment, then this contract is breached and appropriate penalties will apply. Upon termination of this agreement by either party as provided in Developer&#8217;s general policy statement, all content provided by Web User will be deleted from Developer&#8217;s server, computers, databases or data centers.</p>
<h2>19. Design Credit.</h2>
<p>Web User agrees that the Developer will place a small hyperlinked byline logo on the bottom of their visible html web pages establishing design and development credit. Web User also agrees that this byline logo will remain on the site for the duration of the site design’s existence. Further, the Web User agrees that the web site created for Web User may be included in the Developer&#8217;s portfolio.</p>
<h2>20. Nondisclosure.</h2>
<p>The Developer, its employees and subcontractors agree that, except as directed by the Web User, it will not at any time during or after the term of this Agreement disclose any Confidential Information to any person whatsoever. Likewise, the Web User agrees that it will not convey any confidential information obtained about the Developer to another party.</p>
<h2>21. Completion Date.</h2>
<p>The Developer and the Web User must work together to complete the web site in a timely manner for both parties to remain profitable.</p>
<h2>22. Cancellation.</h2>
<p>Cancellation of the project at the request of the Web User must be made by certified letter. In the event that work is postponed or canceled at the request of the Web User by registered letter, the Developer shall have the right retain the original deposit, if applicable. In the event this amount is not sufficient to cover the Developer for time and expense already invested in the project additional payment will be due. If additional payment is due, this will be billed to the Web User within ten days of notification via registered letter to stop work.</p>
<h2>23. Arbitration.</h2>
<p>Any disputes in excess of $1,000 (or the maximum limit for small claims court) arising out of this Agreement shall be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed upon Arbitrator suitor pursuant to the rules of the American Arbitration Association. The Arbitrator&#8217;s award shall be final, and judgment may be entered in any court having jurisdiction thereof. The Web User shall pay all arbitration and court costs, reasonable attorney&#8217;s fees and legal interest on any award or judgment in favor of the Developer.</p>
<h2>24. Entire Understanding.</h2>
<p>This contract and the Appendices attached thereto constitute the sole agreement between the Developer and the Web User regarding this project. It becomes effective only when signed by both parties. It is the spirit of this agreement that this will be a mutually beneficial arrangement for the Web User and the Developer.</p>
